keysXchange.com (the “Website”) is owned and operated by 7 Hills Marketing Inc. (the “Company”). The Website may be used by individuals to advertise the sale of their own properties, by licensed real estate agents to advertise the sale of their clients’ properties, and by individuals looking for properties to buy.

By using the Website, you indicate that you agree to these terms of use (the “Terms of Use”). If you do not agree to the Terms of Use, do not access or use the Website.

1. Revisions to Terms of Use. The Company may revise the Terms of Use at any time in its sole discretion without notice to you. Any such revisions will be effective immediately upon public posting. Your continued use of the Website following any such revisions constitutes your acceptance of the revised Terms of Use.

2. Modification or Removal of Website. The Company reserves the right to modify or remove the Website or any portion thereof at any time without notice.

3. Use of Website. You may use the Website only for its intended purposes. You may use the Website to post an advertisement for the sale of a property only if you are the owner of the property or if you are a licensed real estate agent and have been engaged by the owner of the property.

4. User Accounts. Certain features of the Website may require you to create a user account. You are solely responsible for your user account and for maintaining the confidentiality of the login credentials for your user account. You may not share your login credentials with any other person and shall notify the Company immediately if any other person uses your account. You may create a user account only if you are at least 19 years of age.

5. Personal Information. All personal information that you provide to the Company through the Website or otherwise will be dealt with in accordance with the Company’s privacy policy, which is posted at http://www.keysxchange.com

6. Submission of Materials to Website. You may use the Website to submit text and images (collectively, “Submitted Materials”) to advertise the sale of a property. You represent and warrant in favour of the Company that the publication of the Submitted Materials on the Website will not infringe the rights of any third party, including without limitation any copyright, intellectual property rights, or privacy rights. You hereby grant a perpetual, irrevocably, royalty-free license to the Company and its sublicensees to use the Submitted Materials for any purpose. You shall ensure that all Submitted Materials are not misleading, inaccurate, defamatory, obscene, or illegal. The Company retains the right to review any Submitted Materials before allowing them to be posted on the Website. The Company retains the right to remove or correct any Submitted Materials from the Website at any time for any reason in its sole discretion.

7. Reproduction of Website Content. Copying or reproduction of any portion of the Website or of any content posted on the Website (including text and images) is strictly prohibited. You will not reproduce, redistribute, display, publish, or use any portion of the Website, including advertisements for the sale of properties, except in connection with your consideration of the purchase, sale, or lease of an individual property.

8. Sale of Website Content. You may not, directly or indirectly, sell or license any portion of the Website, including advertisements for the sale of properties.

9. Page Scraping. You may not use any page-scrape, robot, spider or other automatic device, program, algorithm, or methodology, or any similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the Website.

10. Unauthorized Access. You may not attempt to gain unauthorized access to any portion or feature of the Website by hacking or any other illegitimate means.

11. No Representations or Warranties Regarding Properties. You acknowledge and agree that the Company does not make any representations or warranties, either express or implied, regarding the properties advertised for sale on the Website, and that you and/or your real estate agent are responsible for conducting any necessary due diligence before purchasing a property advertised on the Website. The Website is a platform for facilitating the advertisement of properties for sale and the Company does not make any recommendations or endorsements regarding any particular property.

12. No Representations or Warranties Regarding the Website. You acknowledge and agree that the Website is provided on an “as-is” basis and that the Company provides no representations or warranties, either express or implied, with respect to the Website. The Company makes no representations or warranties that the Website will be uninterrupted, free of viruses or other harmful code, timely, secure, or error-free.

13. Release of Liability. To the maximum extent permitted by applicable law you release the Company and its affiliates, shareholders, directors, officers, employees, contractors, and agents of all liability arising in connection with your use of the Website, including liability for special, incidental, punitive, indirect, or consequential damages.

14. Indemnity. You agree to defend, indemnify, and hold harmless the Company and its affiliates, shareholders, directors, officers, employees, contractors, and agents from and against any and all claims, damages, obligations, judgements, losses, liabilities, costs, attorney’s fees, and other expenses arising from your use of and access to the Website, or from your violation of any third party right, including without limitation any copyright, intellectual property rights, or privacy rights.

15. Acknowledgement Regarding Company. You acknowledge and agree that the Company is not a real estate agent, real estate brokerage, mortgage broker, leasing agent, or property manager, and is merely providing a service to connect sellers and potential buyers of properties. The Company does not recommend or endorse any particular real estate agent, real estate brokerage, mortgage broker, leasing agent, or property manager.

16. Website Accessibility. You are solely responsible for ensuring that your computer system is compatible with the Website and meets all relevant technical specifications.

17. Links. The Website may include links to websites operated by third parties. The Company does not have any control over the contents of such third party websites and does not accept responsibility for them or for any loss or damage that may arise from your use of them.

18. General. These Terms of Use are governed by and construed in accordance with the laws of the Province of British Columbia and all disputes under these Terms of Use shall be resolved exclusively in the courts of British Columbia. If any provision of these Terms of Use is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Terms of Use will remain in force and effect.

19. Refunds. There are no refunds for any unused portion of the membership subscription period. Agent and Seller will continue to have access until the current subscription period expires.
